Terms of Service and Public Offer

Effective date: 31 August 2026

These Terms of Service and Public Offer (the “Terms”) govern access to solidframe.io, SolidFrame Studio and related websites, applications, credits, media-processing, generation, editing and support services (together, the “Service”).

1. Seller, platform provider and contract structure

The contractual seller and merchant of record for every paid purchase through solidframe.io is “AG PLUS” Limited Liability Company (“AG PLUS”), TIN 312696228, state registration number 3080788, D-U-N-S number 933906683, registered at Republic of Uzbekistan, Tashkent city, Yunusabad district, Katta Xasanboy MFY, Xasanboy Street, 8th Lane, house 3-B. AG PLUS sells paid access, packages and credits in its own name, receives payment, issues purchase confirmations, and handles billing claims, cancellations and refunds.

Solidframe Technologies OÜ (“Solidframe”), registry code 14562948, VAT number EE102110034, D-U-N-S number 536395419, registered at Harju maakond, Tallinn, Lasnamäe linnaosa, Võru tn 2-51, 13612, Republic of Estonia, owns and technically provides SolidFrame Studio. Solidframe operates the platform, processes media, maintains account and project functionality, applies safety controls and provides second-line technical support.

AG PLUS and Solidframe are separate companies. AG PLUS is not merely a payment agent for Solidframe, and Solidframe is not the seller or merchant of record for paid packages purchased under these Terms.

2. Acceptance and formation of the contract

These Terms constitute AG PLUS’s electronic public offer to provide the paid elements of the Service. You accept the offer and form a binding contract with AG PLUS when you click an acceptance control, place an order, complete payment, activate or use paid credits, or otherwise use a paid element of the Service after being shown these Terms.

Your acceptance may be recorded electronically together with the applicable version of these Terms, date and time, account identifier, order details and checkout consents. The order confirmation, payment record and credit-allocation record may be used as evidence of the contract.

If you use the Service for a company or another organisation, you confirm that you are authorised to bind that organisation. “You” then means that organisation and its authorised users.

3. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into a contract. The Service is not directed to children.

You must provide accurate account and billing information, keep it current, protect your credentials and notify technical support promptly if you suspect unauthorised access. You are responsible for activity under your account unless mandatory law provides otherwise. Accounts may not be sold, shared outside an authorised team, or transferred without written approval.

We may reject registration where required for security, sanctions, fraud-prevention or legal compliance reasons.

4. The Service

SolidFrame Studio is a browser-based workspace for video and media production. It may include project organisation, uploading and editing media, timelines, sound tools, exports, a production assistant, and optional image, video, speech, music, sound-effect, lip-synchronisation or other AI-assisted processing.

Available features, technical requirements, supported formats, third-party models and credit costs are displayed in the Service. Processing time depends on the task, media, selected provider and system demand. A generation may be rejected by safety controls or fail technically.

AG PLUS sells access to the Service and allocates paid credits. Solidframe technically delivers and operates the Service.

5. Packages and credits

Paid functionality is supplied through one-time prepaid packages or credits unless checkout expressly describes a subscription or recurring charge. Purchases do not renew automatically unless you separately select and affirmatively agree to a clearly disclosed recurring plan.

Credits are contractual units used only to measure eligible Service operations. They are not money, electronic money, securities, deposits or cash equivalents; they do not bear interest and cannot be redeemed for cash except through an approved refund required by these Terms or mandatory law.

The package, number of credits, price, currency and any applicable taxes are displayed before payment. Credits are normally allocated immediately after successful payment and payment verification. Credits expire 12 months after allocation, unless checkout expressly gives a longer period. Expiry does not remove rights relating to an earlier incorrect charge or verified technical failure.

Credits should be deducted only for an operation that completes successfully. If a verified platform or provider failure causes an incorrect deduction, the affected credits will be restored or another remedy will be provided under the Refund and Cancellation Policy.

6. Prices, taxes and payment

Prices are normally displayed and charged in euros (EUR). The total amount payable, including taxes collected by AG PLUS where legally required, will be shown before you place the order. Your bank or payment provider may apply its own conversion, cross-border or card fees.

AG PLUS is the payee, contractual seller and merchant of record. AG PLUS uses Joint-stock commercial bank “Kapitalbank” (“Kapitalbank” JSCB), Uzbekistan, as its banking and acquiring payment partner. Kapitalbank and any separate gateway, wallet or card-network participant identified at checkout may process payment data for authorisation, settlement, fraud prevention and refunds. Neither AG PLUS nor Solidframe intends to store complete card numbers or card security codes.

Payment authorisation does not guarantee acceptance. An order may be refused or reversed for suspected fraud, sanctions, technical error, legal restrictions or an incorrect price. If an order is not accepted after funds were captured, AG PLUS will arrange reversal or refund.

The purchase confirmation will identify AG PLUS as seller and include the order reference, purchase date, package, amount, currency and other information required by applicable law.

7. Immediate performance and consumer withdrawal

Credits are normally delivered and made available immediately after payment. If you are an EU or EEA consumer and request immediate supply during the statutory withdrawal period, checkout may ask you to expressly request immediate performance and acknowledge that your withdrawal right may be lost once digital performance begins, to the extent permitted by law.

Nothing in these Terms limits mandatory remedies for digital content or a digital service that is not supplied, is defective or does not conform to the contract. The separate EU/EEA Consumer Withdrawal Notice and the Refund and Cancellation Policy apply.

8. Refunds and cancellations

AG PLUS decides and processes end-customer refunds. Subject to the Refund and Cancellation Policy and mandatory law, you may request a refund within 14 days for unused credits. Refunds are also available for duplicate charges, paid credits not delivered, incorrect credit deductions and verified technical failures where restoration of credits is not an adequate or accepted remedy.

Creative dissatisfaction alone, an accidental operation successfully requested by the account, a request rejected under disclosed safety rules, or suspension for a material violation does not normally create a voluntary refund right. This does not exclude mandatory consumer rights.

9. User content and permissions

“User Content” means prompts, instructions, uploads, source files, recordings, images, audio, project data, comments and other material you provide or create through the Service.

You retain the rights you lawfully hold in User Content. You grant AG PLUS and Solidframe a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, adapt, display and process User Content only as reasonably necessary to provide, secure and support the Service, comply with law, enforce these Terms, and perform actions you request, including sending relevant content to a selected third-party model or media provider.

You must have all rights, permissions, consents and lawful bases needed for your User Content and its processing. In particular, do not upload another person’s confidential information, biometric material, likeness, voice or personal data without appropriate authority.

Confidential User Content will not be used to train a general-purpose model without your express opt-in, except for strictly necessary abuse detection or where mandatory law requires processing. Service improvement using aggregated or de-identified operational information does not grant a right to disclose your confidential content publicly.

10. Outputs and commercial use

Subject to these Terms and applicable law, you may use outputs generated through your account for personal or commercial purposes. To the extent AG PLUS or Solidframe holds transferable rights in a specific output, you receive a worldwide, perpetual, royalty-free licence to use, reproduce, modify and distribute that output.

AI-generated material may not qualify for copyright or exclusive protection in every country, may resemble existing material, and may be subject to the rules of the selected third-party provider. We do not guarantee that an output is unique, non-infringing, factually correct or suitable for a particular purpose. You are responsible for human review and for permissions relating to people, trademarks, music, source material and publication context.

11. Public sharing

Projects remain private unless you choose a publishing or sharing function. If you publish a project, you grant Solidframe and AG PLUS a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, technically adapt and distribute the published material through the Service for as long as it remains published and for a reasonable backup period.

You may unpublish material through available controls or by contacting technical support. Removal may not delete copies lawfully made by other users before removal. Public material remains subject to the Acceptable Use and Content Safety Policy and the Copyright, Illegal Content and Takedown Policy.

12. Acceptable use

You must comply with the Acceptable Use and Content Safety Policy. You may not use the Service for unlawful, infringing, fraudulent, exploitative or harmful activity; to create child sexual abuse material, non-consensual intimate material or deceptive harmful impersonation; to evade moderation or credit controls; or to attack, scrape, reverse engineer, overload or compromise the Service.

We may use automated tools and human review to investigate suspected violations. Enforcement should be proportionate to the risk and may include blocking an operation, restricting a feature, removing public content, suspending an account, preserving evidence or reporting conduct where required by law.

13. Third-party services

The Service relies on third-party hosting, storage, authentication, email, payment, AI and media-processing providers. A current functional disclosure is available in the Subprocessor and Third-Party Provider Disclosure. The selected production tool and its credit cost are displayed in the Service.

Third-party policies may limit certain prompts, content or outputs. Material restrictions affecting commercial use should be disclosed through the Service or provider notice. We are not responsible for a third party’s independent service beyond obligations that cannot lawfully be excluded, but AG PLUS remains responsible for customer remedies it owes as seller.

14. Availability, changes and support

We aim to provide a reliable service but do not guarantee uninterrupted availability. Maintenance, provider outages, emergencies, security events and force majeure may affect access. Material changes that significantly impair an active paid offering will be notified where reasonably practicable.

15. Suspension and termination

You may stop using the Service at any time. Account closure does not automatically create a refund right, but any statutory right and any approved refund remain available.

Access may be restricted or suspended where reasonably necessary to address a documented violation, fraud, sanctions, non-payment, legal demand or immediate security risk. Except in urgent or legally restricted cases, we will aim to explain the reason and provide a reasonable opportunity to correct the issue or appeal. Unaffected paid functionality should remain available where technically and legally possible.

Serious or repeated violations may result in termination. Provisions on payment, intellectual property, User Content, liability, disputes and any terms that by nature should survive will remain effective after termination.

16. Intellectual property in the Service

Solidframe and its licensors retain all rights in SolidFrame Studio, its software, interfaces, documentation, models, branding and underlying technology. These Terms grant only a limited, revocable, non-exclusive right to access the Service during your account’s lawful use. No source-code, trademark or ownership rights are transferred.

17. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We do not promise that every operation will succeed, that outputs will meet subjective expectations, or that generated information is accurate. The Service is not legal, medical, financial or other professional advice.

Nothing excludes warranties, conformity duties or remedies that cannot be excluded under applicable consumer law.

18. Limitation of liability

Nothing limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of mandatory data-protection obligations, or any liability that cannot legally be limited.

Subject to the preceding sentence, neither AG PLUS nor Solidframe will be liable for indirect, incidental, special, exemplary or consequential loss, or for lost profit, revenue, goodwill, opportunity or data, arising from the Service. For a consumer, this exclusion applies only to the extent permitted by mandatory law.

For all claims relating to paid Service use, aggregate contractual liability will not exceed the greater of (a) the amount you paid to AG PLUS for the Service during the three months preceding the event giving rise to the claim or (b) EUR 100, unless mandatory law requires a higher remedy.

Business users will indemnify AG PLUS and Solidframe against third-party claims caused by their unlawful User Content, material breach of these Terms or violation of third-party rights, except to the extent the claim was caused by AG PLUS or Solidframe. This indemnity does not apply to consumers where prohibited by law.

19. Changes to these Terms

We may update these Terms to reflect Service, legal, security or commercial changes. The current version and effective date will be published on the website. Material changes affecting an active paid package will be notified by reasonable means and will apply prospectively. Continued use after the effective date constitutes acceptance where permitted by law; where fresh consent is legally required, it will be requested.

20. Governing law and disputes

These Terms and the paid contract with AG PLUS are governed by the substantive law of the Republic of Uzbekistan, without regard to conflict-of-law rules. This choice does not deprive a consumer of mandatory protections or mandatory court rights available in the country of habitual residence.

Before filing a claim, please contact info@4teen.me and allow 15 business days for good-faith resolution. Subject to mandatory consumer venue rules, disputes are submitted to the competent courts of Tashkent, Republic of Uzbekistan. Consumers may also use any statutory complaint or alternative-dispute mechanism available to them.

21. General terms

If any provision is invalid, it will be adjusted only to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign a business account or paid rights without written consent; consumer rights remain transferable where mandatory law requires.

These Terms, the order confirmation, the Refund and Cancellation Policy, the Acceptable Use and Content Safety Policy and any expressly incorporated checkout terms form the agreement for the applicable purchase.

These Terms are issued in English. A Russian translation may be provided for convenience. If the translations differ, the English version prevails, subject always to mandatory law.
